Session 2 – 7th December – Corporate Commercial Contracts in M&A
Deep dive into NDAs, MoUs, Term Sheets, LOIs, SPAs, SHAs, APAs, BTAs, and key negotiation clauses.
Session 3 – 9th December – Due Diligence in M&A
Understanding legal/financial/tax DD, data rooms, red flags, and how findings shape deal pricing and structure.
Session 4 – 10th December – M&A and Insolvency (Acquisitions under IBC)
CIRP process, bidding for stressed assets, Section 29A, landmark judgments, and strategic M&A under the IBC regime.
Session 5 – 12th December – IP Concerns in M&A
IP due diligence, ownership risks, assignments, licensing, software/data concerns, and practical case discussions.
Session 6 – 13th December -Dispute Resolution in M&A Agreements
Common disputes, drafting DR clauses, arbitration/litigation strategy, and significant case law.
