About the Job

Centillion Solutions & Services Pvt Ltd is looking for an experienced and skilled legal professional for the position of Sr. Associate – Legal. The selected candidate will join the Legal Team and handle a wide range of contracts, collaborate with internal departments and external stakeholders, draft and negotiate agreements, and provide legal advice to protect the company’s interests.

Eligibility

• 5–7 years of total experience as a Legal Counsel in a corporate environment.
• Excellent written and verbal communication and presentation skills.
• Ability to independently solve complex problems.
• Strong analytical and logical reasoning skills.

• Meticulous attention to detail.
• Data-driven approach.
• Strong time management skills.

Responsibilities

• Work closely with business teams to understand legal requirements.
• Review and negotiate contracts in accordance with company standards.
• Review customer contracts, including MSA, SaaS, Annual Maintenance Services Agreement, and Software License Agreement.
• Review vendor, staffing, Business Correspondent, lease, and other contracts concerning the banking and mortgage industry.
• Maintain the Intellectual Property portfolio, particularly trademarks and copyrights.
• Assist external legal counsels and law firms in litigation matters.
• Identify and address areas requiring legal assistance for the rollout of new offerings.
• Manage contracts and maintain reports regarding upcoming renewals.
• Maintain a repository of executed contracts along with their key features and differences from the master contract.
• Make recommendations and support the operations team on legal documentation while considering risk mitigation.
• Prepare and maintain monthly reports regarding legal contracts and share them with management.
• Assist in procuring corporate certificates as required.
• Assist in drafting notices and letters for delayed payments or disciplinary actions.
• Provide legal opinions on queries raised by business teams as required.
• Work with HR, Admin, Finance, and other departments as an advisory body on legal matters.
• Work on procurement of insurance policies and track renewals.
• Work with external counsels for legal opinions as required.
• Research the applicability of relevant laws to the business and advise management accordingly.
• Identify potential risks and propose ways to address them.
• Work closely with the leadership team to identify components that should potentially be added to the master contract.
• Negotiate contracts with customers, service providers, and vendors while protecting the company’s interests.
• Upload contracts, SOWs, and Work Orders to the in-house contract management tool and track contract deadlines.
• Perform any other legal duties required as part of the role.
