About the Job

DESRI is seeking a resourceful and driven professional to join its Hyderabad, India office. The selected candidate will be part of a growing, inclusive, and highly skilled team supporting DESRI’s portfolio of wind, solar, and battery projects. The role involves supporting the project finance workstream and working closely with commercial teams, deal teams, asset managers, lenders, tax equity and equity investors, and attorneys across DESRI offices.

Eligibility

• Degree in law with a proven record of academic achievement.
• 2–5 years of experience supporting project finance, mergers and acquisitions, or corporate lending transactions.
• Experience with financing documentation and closing deliverables involving lenders and internal stakeholders.
• Familiarity with credit agreements, security and collateral documents, partnership/LLC agreements, amendments, consents, and closing checklists.
• Ability to track conditions precedent across multiple concurrent closings.
• Strong attention to detail and ability to follow structured review guidelines and escalation protocols.
• Ability to track multiple deliverables and compliance requirements across concurrent transactions.
• Proficiency in MS Word and Excel.
• Experience using legal technology tools, including AI-based platforms and document automation systems, or willingness and aptitude to quickly learn such tools.
• Ability to work effectively with US-based legal, finance, and deal teams, as well as external lenders and counsel, in a cross-border environment.

Responsibilities

• Support financing transactions across the portfolio, including construction-to-term conversions, refinancings, and acquisitions.
• Review, draft, and negotiate financing documents and ancillary deliverables, including credit agreements, equity capital contribution agreements, amendments, waivers, and consents.
• Prepare closing checklists, certificates, resolutions, and conditions precedent packages for financing transactions across the development, construction, and operating phases of solar, wind, and storage projects.
• Review and negotiate pledge agreements, security agreements, mortgages/deeds of trust, collateral agency agreements, and UCC filing packages.
• Review partnership/LLC agreements, side letters, flip structures, and tax equity investor consent packages.
• Assemble and maintain closing bibles, signature pages, and post-closing deliverables trackers.
