About the Job

Morgan Stanley is hiring an Associate – Asia Equity Documentation Negotiator for its Institutional Equity Division in Mumbai. The role is part of the Asia Equity Documentation Group (AEDG), which works with the Asia Equity Documentation Group based in Hong Kong.

The position involves handling documentation aspects of OTC derivative transactions, prime brokerage, and stock-lending transactions in the Asia ex-Japan region. The role requires a fast-learning, dynamic, proactive, and self-motivated professional to support the team’s day-to-day activities.

Eligibility

• Law graduate with 3–7 years of relevant experience in financing/derivatives preferred.
• Legal qualification is advantageous.
• In-house documentation negotiation experience or paralegal experience in a corporate law firm is preferred.
• Excellent oral and written communication skills.
• Proficiency in English is required.
• Good team player with potential to lead a team.
• Solid quantitative skills and strong interest in business, economics, and law.
• Willingness and ability to provide quality service to the firm’s clients.
• Ability to work in a dynamic environment and excel under pressure.
• Proficiency in and interest in technology and systems development.
• Organised, proactive, detail-oriented, and self-sufficient.
• Ability to multitask and work efficiently.

Responsibilities

• Draft, negotiate, and execute, including amendments to, master derivatives agreements, including ISDA, VM CSA, IM CSA, equity swaps/options, and prime brokerage-related documentation.
• Review and analyse client constitutional documents to establish their capacity and authority to enter into derivative transactions with Morgan Stanley.
• Review and analyse capacity and authority legal opinions from external counsel and highlight issues to Risk and Legal for approvals where applicable.
• Work closely with internal stakeholders to obtain approvals on deviated terms identified in negotiable agreements.
• Provide clear implications of deviated terms to enable internal stakeholders to make informed decisions.
• Handle business unit queries regarding the terms of documentation managed by Institutional Securities Documentation.
• Participate in globally or locally led projects related to documentation requirements.
• Coordinate the lifecycle management of client agreements and act as the primary point of contact for clients for tasks originating from the Asia Pacific region.
• Administer and facilitate the agreement execution process.
• Maintain and update client contract databases and systems.
• Coordinate with internal procurement and legal teams regarding contracts.
• Perform due diligence to ensure contract terms, conditions, and party information are reflected in the client’s contract databases and systems.
