Saraf and Partners Advises Virya Energy on Sale of 40 MW Karnataka Wind Project to Blueleaf Energy

Saraf and Partners acted as counsel to Virya Energy NV on the sale and transfer of its entire shareholding in Sanchore Renewable Private Limited, which owns and operates a 40 MW wind power project in Karnataka.

The project, located in the Belagavi district of Karnataka, operates under a long-term power purchase agreement with Bangalore Electricity Supply Company Limited (BESCOM).

Under the transaction, Virya Energy transferred 100% of its shareholding and debenture capital in the target company to Blue Leaf Energy India Investments Pte. Ltd., a Singapore-based renewable energy platform backed by Macquarie.

The transaction forms part of Virya Energy’s portfolio management strategy and exit from its operational renewable energy assets in India, while reflecting continued investor interest in operational renewable energy assets in the country.

The Project and is Blueleaf’s first operating asset purchase in India. The plant will join the Blueleaf’s 1.5-GW fleet of greenfield plants in construction and operation across the country.

The transaction team was led by Avirup Nag (Partner) and comprised Ankit Sahoo (Partner Designate), Ashwini Panwar and Sneha Smriti (Associates).
