About the Job

Sarvaank Associates is hiring an Associate/Senior Associate for its Corporate Practice in New Delhi. This full-time, on-site role involves advising on start-up, private equity, venture capital, and corporate commercial transactions, including drafting transaction documents, conducting legal research, supporting due diligence, and assisting with regulatory compliance and transaction structuring.

Eligibility

• LL.B. from a recognised law school.
• LL.M. or specialisation in corporate/commercial law will be an advantage.
• 2–3 years of experience for the Associate position or 3–5 years for the Senior Associate position. The designation will depend on relevant experience.
• Strong understanding of the Companies Act, FEMA, SEBI regulations, and general corporate-commercial laws.
• Prior experience in drafting and negotiating investment documents, including SHA, SSA, SPA, term sheets, and commercial agreements.
• Experience in due diligence, transaction structuring, and regulatory compliance.
• Familiarity with the start-up ecosystem, cap tables, ESOPs, and fund investments is preferred.
• Ability to conduct comprehensive legal research and prepare well-structured legal opinions.
• Strong communication skills with the ability to independently handle client interactions.
• High attention to detail, strong analytical skills, and the ability to work in a fast-paced, transaction-driven environment.
• Ability to manage multiple matters simultaneously and meet time-sensitive deadlines.
• Candidates must have prior law firm experience in Private Equity, Venture Capital, M&A, or commercial transactions.

Responsibilities

• Draft and review investment documents, shareholder agreements, commercial contracts, and other transaction-related documentation.
• Conduct legal research on corporate, regulatory, and data privacy frameworks.
• Provide advisory support on private equity and venture capital investments, fund-related matters, and M&A transactions.
• Assist in due diligence, transaction structuring, and regulatory compliance.
• Engage with founders, investment funds, and family offices.
• Manage client communications and provide strategic legal solutions throughout the business lifecycle.
