About the Job
Fair & Just Legal Solutions LLP is hiring 2 Legal Associates for its Corporate / Banking and Finance team in Noida. The position is open to candidates with 2–3 years of post-qualification experience in a reputed law firm. Candidates must have experience in corporate, banking and finance matters.
Eligibility
- LL.B. from a reputed university.
- 2–3 years of post-qualification experience in a reputed law firm.
- Candidates must be working in a corporate law firm or a law firm handling corporate, banking and finance matters.
- Experience in handling corporate, banking and finance matters.
- Good knowledge of corporate and banking laws.
- Strong communication and negotiation skills.
- CS qualification will be an added advantage.
Responsibilities
- Drafting and reviewing contracts and agreements, including share purchase agreements, shareholders agreements, escrow agreements, security trustee agreements, project finance documents and loan documents.
- Drafting and reviewing loan agreements, mortgage deeds, hypothecation deeds, trust and retention account/escrow agreements, sale deeds, lease deeds, leave and licence agreements, assignment agreements and related documents.
- Advising and assisting on mergers and acquisitions and real estate transactions.
- Conducting legal due diligence of companies and preparing title due diligence reports.
- Advising and assisting on insolvency matters, including preparation of resolution plans.
- Preparing legal opinions on the Companies Act, 2013, FEMA, SARFAESI, IBC and other banking and commercial laws.
