About the Course on FinTech and Data Protection with AZB & Partners

A course in collaboration with the FinTech and Data Protection Team at AZB & Partners

FinTech in India today does not operate under one law. It operates at the intersection of RBI regulation, the DPDP Act, FEMA, and increasingly, questions nobody has fully answered yet, from crypto to AI governance.

This course is built for exactly that reality.

Across 8 live sessions, participants will work through the regulatory landscape of Indian FinTech, from payment aggregators and digital lending frameworks to the DPDP Act 2023 and DPDP Rules 2025, and how these frameworks intersect and sometimes conflict with each other. The course moves into virtual digital assets, a practical drafting and advisory clinic reviewing real agreements and consent notices the way the FinTech and Data Protection Team at AZB & Partners does in practice, and closes with cross-border FinTech operations and market-entry advisory work.

This is not a survey of FinTech law. It is training in how to actually advise on it, spot the dual compliance conflicts, and draft the documents that matter.

Module 1: The Regulatory Landscape of Indian FinTech

  • Overview of regulators: RBI, MeitY, and NPCI and who regulates what
  • Key regulated activities: digital lending, payment aggregation
  • The dual compliance reality: sectoral regulation alongside the DPDP Act 2023
  • How FinTech business models are classified and why it matters legally
  • Mapping a FinTech business model to its applicable regulatory framework

Module 2: Payment Aggregators and Payment Gateways: Regulatory Framework

  • The RBI Payment Aggregator Directions 2025: licensing and authorization requirements for non-banks
  • Categories of Payment Aggregators
  • Merchant due diligence and KYC obligations
  • Escrow Account Norms
  • Cross-border payment infrastructure
  • Reporting, Audit and Governance
  • Payment Gateways and their interplay in payment system

Note: The review of aggregator agreement as a sub-topic will get covered under Session 7.

Module 3: Digital Lending: Regulatory Architecture and Compliance

  • RBI Credit Facilities Master Directions 2025: key obligations for digital lenders
  • Lending Service Provider: role and permissible arrangements
  • Data collection, sharing and restrictions
  • Lending arrangements and borrower data flows across regulated and unregulated entities
  • Analysing a digital lending fact pattern for regulatory red flags

Module 4: The DPDP Act 2023 and DPDP Rules 2025: Framework

  • Core obligations: legal basis – consent v. legitimate use, reasonable security safeguards, and data principal rights management, cross border transfer
  • Significant Data Fiduciary designation: who qualifies and what additional obligations apply
  • Enforcement timeline: May 2027 deadline and what readiness actually requires
  • Drafting a DPDP compliant consent notice for a FinTech onboarding flow

Module 5: Where RBI and DPDP Conflict: Navigating Dual Compliance

  • KYC data retention under RBI Master Directions vs DPDP erasure obligations
  • Consent under RBI frameworks vs DPDP’s purpose specific consent standard
  • Account Aggregator framework vs DPDP’s consent manager framework
  • Data localisation: RBI’s payment system data storage mandate vs DPDP’s cross-border transfer conditions
  • Resolving a dual compliance conflict scenario: advisory exercise

Module 5: Virtual Digital Assets, Crypto, and Emerging Regulatory Questions

  • Understanding blockchain
  • VDA SP registration under PMLA and FIU-IND reporting obligations
  • RBI’s position on crypto and the current state of regulatory uncertainty
  • Advisory exercise: onboarding a crypto client and what questions do you ask first

Module 6: Drafting and Advisory in FinTech Practice: Practical Clinic

  • Drafting data processing terms in vendor contracts to ensure DPDP compliance
  • Drafting and reviewing consent notices: what the DPDP standard actually requires
  • Reviewing payment aggregator agreements: Must Haves
  • Advising clients on handling security incidents and breach under DPDP and RBI frameworks
  • Live document review: participants identify errors in a sample FinTech agreement

Module 7: Cross-Border FinTech: FEMA, Data Transfers, and Global Compliance

  • Cross-border FinTech operations, including PA-CB operations
  • FEMA compliance obligations arising from cross border transactions
  • Cross-border data transfer rules and data localisation obligations for payment system operators
  • Advisory exercise: advising a foreign FinTech client on entering the Indian market
