Position: Vice President – BCU Docs Negotiator
Division: Fixed Income Division
Employment: Full-time
The Institutional Securities Documentation (ISD) team operates within the Fixed Income Division’s Business Control Unit (BCU) and handles contract negotiations for trading agreements.
The selected professional will join the Mumbai ISD team and support the Americas or EMEA region, working on derivatives and financing documentation.
Responsibilities
- Draft and negotiate legal documentation, including master agreements, amendments, and ancillary documents such as CDEAs and DRAs, for OTC derivatives, repurchase, and stock loan transactions.
- Handle client negotiations and related projects to ensure timely execution and completion.
- Review and analyse legal documentation to determine capacity and authority to enter into relevant transactions.
- Identify documentation required for clients to trade securities or OTC derivatives and conduct related due diligence scans.
- Participate in global team projects involving risk management, regulatory initiatives, and related matters.
- Liaise with clients, business units, external legal counsel, risk management, Operations, Tax, Credit, and other infrastructure groups throughout the negotiation process.
- Analyse and present negotiation issues to relevant stakeholders.
- Follow established procedures.
- Communicate with clients and external counsel.
- Update internal systems, documentation databases, and project trackers regarding negotiation status.
- Handle post-negotiation matters, including signing arrangements, electronic and original document filing, and dispatch of documents to counterparties.
- Provide mentoring, training, and coaching to junior team members.
- Respond to queries regarding master documentation from various departments, including business functions.
Eligibility
- Law graduate with experience or knowledge of the ISDA Master Agreement and/or other derivatives documentation.
- Demonstrated ability to lead and manage teams effectively while supporting professional development.
- International work experience is preferred.
- Excellent oral and written communication skills.
- Proficiency in English is mandatory.
- Good team player.
- Solid quantitative skills and a strong interest in business, economics, and law.
- Willingness and ability to provide quality service to the firm’s clients and promote and enhance the Morgan Stanley franchise.
- Ability to work effectively in a dynamic environment and under pressure.
- Proficiency in and interest in technology and systems development.
- Organised, proactive, detail-oriented, self-sufficient, and able to multitask efficiently.
- GMRA or GMSLA negotiation experience would be useful but is not essential.
Department Profile
The Fixed Income Division comprises Interest Rate and Foreign Exchange Products, Credit Products, and Commodity Products and Distribution. Professionals within the division assess and manage risk, trade securities, and structure and execute transactions across fast-changing global markets.

Team Profile
The Institutional Securities Documentation (ISD) team is a global team with locations including New York, London, Hong Kong, Tokyo, Mumbai, Budapest, and Singapore. The Mumbai team works closely with regional teams supporting the Fixed Income Division across the Americas, EMEA, and Asia-Pacific.
The role involves regular collaboration with Sales & Trading, Risk Management, Credit Risk, Legal, Operations, and other stakeholders, along with direct engagement with clients and their counsel.
