About the Job

EC-Council is inviting applications for the position of Senior Associate – Legal. The role involves providing legal advice and support across corporate and commercial matters, contracts, employment issues, M&A, data protection and privacy, compliance, regulatory matters, product development, and marketing.

Responsibilities

• Draft, negotiate, vet, and redline agreements and ancillary documentation, including MSAs, RFPs, RFQs, SaaS agreements, SHAs, reseller agreements, NDAs, partner agreements, distributor agreements, service agreements, author agreements, training centre agreements, commercial lease agreements, and licence agreements.
• Advise on employment-related matters including termination, severance, mutual separation, outsourcing arrangements, and employment templates.
• Support M&A matters, including working with external counsel, due diligence, reporting, and transaction documentation such as term sheets, LOIs, SHAs, and SPAs.
• Participate in negotiations and provide advice on mergers, disposals, restructurings, strategic alliances, and acquisitions, where applicable.
• Handle data protection and privacy matters, including privacy policies, GDPR, CCPA, PDPA, DPDP, Data Processing Agreements, and SCCs.
• Work closely with the DPO to implement data protection clauses in agreements.
• Provide legal advice, legal leadership, strategy, and risk management across legal operations and business areas.
• Develop compliance systems and processes in coordination with functional and business leaders and external legal advisors.
• Provide strategic direction and legal advice on corporate and commercial matters.
• Oversee corporate compliance and legal issues, including regulatory and government affairs.
• Provide guidance on product development and approval of marketing claims and materials globally.
• Review, negotiate, and approve material contracts.
• Ensure compliance with applicable laws and contractual obligations and establish preventive measures.
• Assist with technical service fee agreements, professional consultancy and services agreements, licensing and assignments.
• Deal with third parties on matters involving conflicts and settlements.
• Coordinate with regional teams and corporate groups on global contract management and partner-related legal matters.
• Develop training programmes for non-legal functions on contractual, intellectual property, and marketing law issues where necessary.
• Coordinate with internal stakeholders and advise them on legal issues.
• Conduct research on laws across various countries.
• Prepare and assist relevant departments in developing policies and procedures concerning legal matters.

Eligibility

• LLB or LLM from a reputed law school; national law schools will be preferred.
• 5–7 years of work experience in a law firm or in-house legal role with an MNC.
• Experience working in a global organisation and dealing with diverse stakeholders across the world.
• Good interpersonal skills and ability to work with multiple stakeholders.
• Ability to handle work within short deadlines.
• Good oratory and communication skills, including communication with senior management.
• Ability to work as part of a team.
• Ability to function according to global timelines.
• Sensitivity towards a diverse work culture.
