About the Job

Mahindra & Mahindra Ltd is hiring for the role of Manager – M&A, Group Legal Services. The selected candidate will work as part of the Group Legal M&A team and support mergers and acquisitions transactions and documentation while ensuring minimal legal and business risk in accordance with organisational guidelines, policies, and procedures.

Eligibility

Applicants should:

  • Have at least 2 years of relevant experience
  • Possess M&A experience at a law firm
  • Demonstrate strong drafting and negotiation skills
  • Have sound knowledge of:
    • Contract law
    • FEMA regulations
    • SEBI regulations
    • Company law
  • Possess a good understanding of best practices in drafting M&A transaction documentation

Responsibilities

The selected candidate will be responsible for:

  • Structuring transactions under the supervision of the Head-Corporate/M&A or Senior Lead – M&A
  • Drafting and reviewing agreements, term sheets, MOUs, powers of attorney, undertakings, deeds, legal notices, applications, and other legal and regulatory documentation
  • Reviewing due diligence reports
  • Conducting legal research and preparing legal notes, memoranda, and opinions
  • Participating in negotiations and conference calls
  • Coordinating procedural work relating to finalisation and execution of legal documentation
  • Assisting business teams and Group Legal teams on various legal and transactional matters

The role will involve work relating to:

  • Joint ventures
  • Acquisition and divestment of shares or assets
  • Technical collaborations
  • Brand acquisitions and licensing
  • Corporate restructuring
  • Mergers and demergers
  • Offer and listing of securities

The candidate will also handle matters relating to company law, securities law, merger control regulations, competition law, and other legal queries from departments and group companies.

  • Assist senior team members in legal research
