About the Job

OpusDocs is looking for a Corporate Law student or graduate to join its Legal & Product Management team. The role involves working at the intersection of contract law and product management, with a focus on designing, reviewing and maintaining clause libraries and templates used for automated contract generation.

The position involves working with commercial contracts across industries and translating legal reasoning into structured and conditional templates.

Eligibility

• Corporate Law student or graduate with a BA LL.B. or LL.B. degree.
• Strong understanding of contract law fundamentals, including offer, acceptance, consideration, indemnity, limitation of liability and termination.
• Familiarity with, or genuine interest in learning about, NDAs, MSAs and other commercial agreements.
• Good working knowledge of privacy and data protection laws, including:
  • DPDP Act, India
  • GDPR, EU
  • US state and federal privacy frameworks
  • California CCPA
• Detail-oriented approach with the ability to identify standard and jurisdiction-specific contractual provisions.
• Comfortable working with structured and technical tools. Coding is not required, but logical thinking is essential.
• Strong written English and precise drafting skills.
• Good attendance during college courses.

Responsibilities

• Draft and review commercial agreements, including NDAs, MSAs, SOWs, Order Forms, DPAs and vendor/reseller agreements.
• Develop industry-specific clause variations for SaaS, healthcare, financial services, manufacturing and professional services clients.
• Work on privacy and confidentiality provisions, including confidentiality carve-outs, data protection addenda, breach notification terms and cross-border data transfer language.
• Track multi-jurisdictional legal requirements, including Indian contract and data protection laws, US state and federal frameworks, and Intellectual Property Laws.
• Convert legal reasoning into conditional template rules in collaboration with product and engineering teams.
• Maintain a clause library organised by contract type, industry and jurisdiction.
• Support customer-facing template configuration during implementation and migration projects.

Good to Have

• Prior internship experience at a corporate law firm, in-house legal team or legaltech company.
• Exposure to US commercial contracts or cross-border transactions.
• Understanding of SaaS or enterprise software agreements.

Selection Process

The selection process consists of three phases:

• Contract Drafting / Redlining Test: A timed take-home exercise involving drafting or redlining an NDA or MSA clause and identifying issues in a sample agreement.
• Case Study / Scenario Round: Candidates will be given a short fact pattern and asked to assess the applicable law and propose appropriate contractual language.
• Legal Knowledge / Technical Interview: The interview will cover contract law fundamentals, including indemnity, limitation of liability and termination clauses, along with applied privacy law questions concerning the DPDP Act, GDPR basics and US state privacy statutes such as CCPA.
