About the Opportunity
Legalite Advisors is hiring an Associate – Legal (Corporate & Non-Litigation) to support its premium retainership clients, including high-growth fintech companies, corporate houses, and investment entities. The role involves managing end-to-end legal advisory, corporate transactions, commercial contracting, and regulatory compliance.
Eligibility
Candidates must possess:
- 2–3 years of post-qualification experience (PQE) in non-litigation corporate transactions or in an in-house corporate legal department.
- Strong conceptual understanding of corporate investment documentation, commercial law, fintech regulatory frameworks, and security creation structures.
- Excellent drafting, commercial negotiation, and client management skills.
- Ability to work from the Mumbai or Bangalore office.
Responsibilities
The selected candidate will be responsible for:
- Serving as the primary legal point of contact for retainership clients and providing legal advisory on complex matters.
- Drafting, reviewing, and negotiating investment and financing documents, including Shareholders’ Agreements (SHA), Share Subscription Agreements (SSA), Share Purchase Agreements (SPA), Debenture Trust Deeds, Term Loan Agreements, and Security Creation Documents.
- Structuring and executing commercial contracts while ensuring compliance with the Indian Contract Act, 1872, and applicable State Stamp Acts.
- Providing legal advice to clients operating in the fintech and digital lending sectors on applicable regulatory frameworks.
- Managing end-to-end legal requirements for corporate and investment transactions.
