Emerald Law Offices Advises Aero Fasteners on Majority Stake Acquisition by Italy’s Poggipolini

Emerald Law Offices has successfully advised Aero Fasteners Private Limited and its selling shareholders on the acquisition of a majority stake by Italy-based Poggipolini S.p.A, marking a significant cross-border transaction in India’s aerospace and defence manufacturing sector.
The transaction, announced and completed on March 20, 2026, represents Poggipolini’s strategic entry into the Indian market. The acquisition was executed through a combination of primary and secondary share purchases. The total consideration for the deal remains undisclosed.
Aero Fasteners Private Limited, headquartered in India, is engaged in the manufacturing of critical fastening systems used in aeronautics, space, and defence applications. The company serves a diverse client base across domestic and international markets and will continue to operate under its existing management following the transaction.
The acquisition aligns with Poggipolini’s broader strategy to expand its footprint in India and the Asia-Pacific region. The partnership is expected to enhance Aero Fasteners’ capabilities in designing and manufacturing high-value fastening systems, while supporting growing demand from global customers and Indian aerospace original equipment manufacturers (OEMs). The collaboration also aims to strengthen local manufacturing, boost exports, and contribute to India’s rapidly expanding aerospace ecosystem.

The firm advised on the overall deal structure, conducted negotiations, and was responsible for drafting and finalising the transaction documents. It also assisted extensively during the closing process.
