About the Job

Ernst & Young is hiring a Consultant to support its Forensics, Investigations, Compliance, and transaction-related engagements. The role involves contract drafting and review, forensic investigations, legal due diligence, compliance assessments, and risk advisory work.

Eligibility

Candidates applying for the role should have:

  • An LL.B. degree from a recognised university
  • 3–5 years of post-qualification experience in contract drafting and review
  • Experience with M&A transactions, NDAs, or transaction support in law firms, consulting/advisory firms, or in-house legal teams
  • Experience drafting and negotiating NDAs, confidentiality agreements, commercial contracts, and transaction documentation
  • Ability to handle sensitive, high-risk, and confidential matters with sound legal judgment

An LL.M. degree will be preferred but is not mandatory.

Candidates with prior exposure to forensic investigations, integrity reviews, compliance audits, due diligence, or risk and regulatory advisory engagements will have an added advantage.

Responsibilities

Contract Drafting & Review

  • Drafting, reviewing, and negotiating NDAs, confidentiality agreements, engagement letters, non-reliance letters, and commercial contracts
  • Supporting drafting and review of M&A-related documentation including term sheets, shareholders’ agreements, share subscription agreements, side letters, and ancillary transaction documents
  • Assisting with Conditions Precedent (CP) tracking, closing support, and transaction completion requirements
  • Ensuring contractual provisions adequately address confidentiality, data protection, intellectual property ownership, indemnities, and liability issues

Forensics, Investigations & Integrity Support

  • Providing legal support in forensic investigations, integrity reviews, and compliance audits
  • Reviewing transactional and commercial documentation during forensic reviews to identify regulatory, integrity, fraud, corruption, and compliance risks
  • Supporting investigation teams in analysing contractual obligations, identifying breaches, and assessing legal exposure

Legal Due Diligence & Risk Assessment

  • Assisting in legal due diligence for M&A, joint ventures, and strategic transactions
  • Identifying and documenting legal, governance, contractual, and compliance risks
  • Preparing risk summaries, red flag reports, issue trackers, and mitigation recommendations
  • Reviewing third-party contracts and counterparties as part of integrity and due diligence assessments

Compliance & Governance

  • Ensuring contractual language complies with applicable laws and regulations
  • Supporting internal risk management, confidentiality, and independence frameworks
  • Maintaining engagement documentation and working papers

Stakeholder & Engagement Support

  • Coordinating with internal teams, external counsel, and advisors
  • Assisting in preparing engagement summaries, legal analyses, forensic findings, and client deliverables
  • Ensuring timely and high-quality completion of assigned workstreams
