CMS INDUSLAW Advises Hindustan Unilever Limited on Acquisition of Zywie Ventures

CMS INDUSLAW advised Hindustan Unilever Limited (HUL) on its acquisition of the remaining 49% equity shareholding in Zywie Ventures Private Limited (which sells products under the OZiva brand), taking its total stake to 100%, for a cash consideration of INR 8.24 billion.

HUL, one of India’s leading fast-moving consumer goods companies, had previously acquired a 51% stake in Zywie in 2023 as part of its strategic entry into the fast-growing Health & Wellbeing segment. Zywie is a leading plant-based nutrition and wellness brand, offering clean, science-backed products across categories such as women’s health, skin, hair, and general wellbeing. The firm had previously advised HUL on the initial 51% acquisition in Zywie.
