About the Opportunity

Shree Cement Ltd is inviting applications for the position of Corporate Counsel, based at the Gurugram office.

Eligibility

• Qualification – Bachelor’s Degree in Law (LLB)/ Master’s Degree (LLM) from a reputed college. An additional degree like CA/ CS/ CFE/ may be an added advantage.
• Experience – 7 to 11 Years (law firm in general corporate practice / in-house lawyer)
• Language proficiency – The candidate must be able to read, write and converse fluently in Hindi and English. Knowledge of any Third Indian Language will be an added advantage.

Skills Required –

• Proven expertise in handling M&A and joint venture transactions
• Strong understanding of corporate governance, SEBI, company law and strategic legal advisory
• Excellent drafting, negotiation and stakeholder management skills
• Ability to work independently and with cross-functional teams in a dynamic environment.

Responsibilities

1. Merger & Acquisitions (M&A)
   • Lead and manage all legal aspects of M&A.
   • Conduct inhouse due diligence, risk assessment, and drafting of transactional documents (SPAs, SHAs, etc.)
   • Draft and review Shareholders’ Agreements (SHA), Voting Agreements, and related documents.
   • Liaise with external counsels, advisors, and internal stakeholders as required.
2. Joint Venture & Strategic Alliances
   • Structure, draft, and negotiate joint venture agreements and strategic collaborations
   • Ensure compliance with regulatory frameworks (FEMA, RBI, SEBI and other regulators)
3. Intellectual Property Rights (IPR) & Enforcement
   • Design and lead the corporate IPR enforcement strategy aligned with business goals and innovation priorities.
   • Identify IP threats and formulate proactive litigation and pre-litigation strategies.
   • Develop risk-based enforcement plans targeting high-impact infringers and IP misuse.
   • Oversee the filing and maintenance of IP rights and ensure proper legal documentation is in place to support enforcement.
   • Structure and negotiate IP licensing, technology transfer, and joint development agreements.
   • Engage with industry associations, IP offices, and policymakers to shape a favourable IP environment.
