About the Job

Tata Capital Limited is hiring a Manager – Legal (Cleantech Finance) for its Mumbai office. The role involves handling lending and financing documentation, mortgage due diligence, contract review, legal advisory, and coordination with external legal counsel to support the company’s Cleantech Finance business.

Eligibility

• LL.B. preferred.
• 3–6 years of legal experience in NBFC, Banking, Infrastructure, or Cleantech sectors.
• Experience in contract vetting, lending documentation, and legal due diligence.
• Exposure to Title Search Report (TSR) review and mortgage documentation is preferred.

Responsibilities

• Review and vet financing documents, including facility agreements, pledge agreements, hypothecation deeds, security trustee agreements, and promoter undertakings.
• Ensure financing documentation aligns with approved sanction terms.
• Review Title Search Reports (TSRs) and identify legal risks.
• Vet mortgage and security documents to ensure enforceability and proper security creation.
• Review and negotiate NDAs, advisory agreements, referral agreements, service agreements, and other commercial contracts.
• Draft legal notices, letters, and other legal communications.
• Provide legal support and guidance to business, credit, and internal stakeholders on contractual and regulatory matters.
• Coordinate with law firms, legal consultants, and TSR advocates for legal opinions and due diligence.
• Ensure compliance with internal legal processes, documentation standards, and record-keeping requirements.
