About the Job

Porch Group is hiring a Legal Counsel, Corporate & Securities to join its Legal team. The role involves supporting the full spectrum of corporate and securities matters for a Nasdaq-listed company, including SEC reporting, corporate governance, capital markets, mergers and acquisitions, equity compensation, entity management, and public-company policy administration. The selected candidate will report directly to the Senior Director, Corporate & Securities.

Eligibility

• Juris Doctor (J.D.), Master of Laws (LL.M.), or a substantially equivalent legal qualification from a recognised institution in India, including an Indian LL.B. or a comparable law degree.
• Minimum of 3 years’ relevant experience in U.S. corporate and securities law at a leading U.S. law firm and/or an in-house legal team of a U.S. public company.
• Strong experience in public-company governance, SEC reporting, corporate structures, earnings cycles, investor relations, and regulatory compliance.
• Strong drafting skills for securities filings, governance documents, and transactional agreements.
• Proficiency with Workiva, Diligent, SimpleLegal, Lexion, Toppan Merrill, and Microsoft Office applications.
• Demonstrated ability to handle confidential information with professionalism and discretion.
• Experience working with U.S.-based business teams.
• Excellent written and verbal communication skills in English.

Responsibilities

• Support SEC reporting and public-company compliance, including Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 reporting.
• Assist with corporate governance and company secretarial functions, including Board and committee documentation and the Annual Stockholder Meeting.
• Manage entity formation and ongoing entity maintenance in collaboration with the Senior Corporate Paralegal.
• Support capital markets, financing activities, and due diligence processes.
• Assist with mergers, acquisitions, and other strategic transactions.
• Support equity compensation programmes and HR-related agreements.
• Collaborate with Finance, Accounting, Commercial, HR, Communications, and other cross-functional teams.

Salary

Annual salary: INR 3,750,000 – 5,250,000.
