About the Opportunity

Vertex Ventures SEA and India is seeking a Legal Counsel to join its legal team in Bangalore. This role is suited for a lawyer with prior PE/VC experience who is execution-oriented and keen to develop hands-on deal experience.

Eligibility

• B.A., LLB. (or equivalent) from a reputable institution
• 3 – 4 years of relevant experience in the PE/VC ecosystem; prior law firm experience is preferred, though a combination of law firm and in-house experience is acceptable.
• Strong execution and process management skills, with the ability to manage multiple workstreams efficiently.
• High attention to detail.
• Working knowledge of Indian corporate law, FEMA, and related regulatory frameworks applicable to venture capital investments.

Responsibilities

• Prepare first drafts of term sheets and definitive documents for venture capital investments and support negotiations.
• Coordinate and run legal due diligence workstreams for prospective investments, including managing external advisors, reviewing diligence outputs, and identifying key legal and regulatory red flags.
• Support the legal management of the existing portfolio, including handling Indian corporate and secretarial compliances.
• Work closely with internal investment team and external counsel on transaction execution, with increasing exposure to direct interactions with founders as experience grows.
