About the Job

EY is hiring a Consultant – Forensics (Investigations & Compliance) to support forensic investigations, compliance audits, integrity reviews, legal due diligence exercises, and transaction-related engagements.

The role combines legal advisory, contract management, forensic risk assessment, compliance support, and M&A transaction exposure, making it suitable for lawyers interested in investigations, governance, and regulatory risk.

Eligibility

• LL.B. or LL.M. degree.
• 3–5 years of Post-Qualification Experience (PQE).
• Experience in:
  • Contract drafting and review.
  • Commercial contracts and transaction documentation.
  • M&A transactions and transaction support.
  • NDAs and confidentiality agreements.
• Experience in law firms, consulting/advisory firms, or in-house legal teams.

Preferred Experience

• Forensic investigations.
• Integrity reviews.
• Compliance audits.
• Due diligence engagements.
• Risk and regulatory advisory assignments.
• Handling confidential, high-risk, or sensitive matters requiring sound legal judgment.

Responsibilities

Contract Drafting & Transaction Support

• Draft, review, and negotiate:
  • Non-Disclosure Agreements (NDAs).
  • Confidentiality Agreements.
  • Engagement Letters.
  • Non-Reliance Letters.
  • Commercial Contracts.
• Support M&A-related documentation, including:
  • Term Sheets.
  • Shareholders’ Agreements.
  • Share Subscription Agreements (SSA).
  • Share Purchase Agreements (SPA) support documents.
  • Side Letters.
  • Data Room Documentation.
• Assist in identifying and tracking Conditions Precedent (CP).
• Support transaction closing and completion requirements.

Forensics, Investigations & Integrity Support

• Provide legal support for:
  • Forensic Investigations.
  • Integrity Reviews.
  • Compliance Audits.
  • Regulatory Reviews.
• Interpret contracts and assess legal positions in matters involving alleged misconduct or disputes.
• Review transactional and commercial documents to identify:
  • Fraud indicators.
  • Corruption risks.
  • Regulatory non-compliance.
  • Governance weaknesses.
  • Integrity concerns.

Legal Due Diligence & Risk Assessment

• Support legal due diligence in:
  • M&A Transactions.
  • Joint Ventures.
  • Strategic Transactions.
• Prepare:
  • Red Flag Reports.
  • Risk Summaries.
  • Issue Trackers.
  • Mitigation Recommendations.
• Conduct third-party due diligence and integrity assessments.

Compliance & Governance

• Ensure contracts comply with:

  • Data Protection and Privacy Requirements.
• Support internal risk management and confidentiality frameworks.
• Maintain engagement documentation and working papers.

Stakeholder & Engagement Support

• Coordinate with:
