About the Job

DLS Law Offices, a client-centric full-service law firm, invites applications for the position of Senior Associate in the General Corporate / PE-VC / M&A practice for our Noida office with a PQE of 5+ years.

They are seeking a self-motivated and analytically strong legal professional with demonstrated experience in general corporate practice, capable of independently handling and contributing to complex advisory and transactional mandates. The role involves advising on PE and VC transactions, investor and company-side mandates, M&A, corporate structuring, and related commercial matters. 

Eligibility

• Minimum 5 years of PQE with hands-on experience in General Corporate Advisory, PE/VC transactions, and M&A matters
• Prior experience in term sheet negotiations, SSA and SHA discussions is essential
•  Proven ability to independently handle transactions, including investor and company-side mandates
• Exceptional legal research, drafting, and analytical capabilities
• Strong professional communication and negotiation skills, with proficiency in client interaction
• High standards of integrity, accountability, and professionalism 

Responsibilities

• Conduct in-depth legal research, analysis, and due diligence on complex corporate transactions and commercial matters
• Draft, review, and negotiate shareholders’ agreements, investment agreements, transaction documents, board resolutions, legal opinions, and advisory memoranda, including term sheets, SSAs, and SHAs
•  Lead and assist in structuring and executing PE/VC funding rounds, M&A deals, and corporate reorganisations
• Advise on regulatory compliance, corporate governance, and statutory filings under the Companies Act, SEBI regulations, and related laws
• The selected candidate will advise on corporate and commercial matters, including general corporate advisory, private equity and venture capital transactions, mergers and acquisitions, regulatory compliance, and related commercial structuring. The candidate must be capable of independently handling transactions end-to-end. The role provides substantial exposure to high-value transactions, direct interaction with investors, corporates, founders, and shareholders, and strategic legal advisory aligned with market-leading practices.
