About the Job

Looking to hire an Associate between 1 – 2 years PQE. The candidate should have had foundational experience in corporate and commercial law (in-house or law firm).

Eligibility

What I am looking for is a self-starter with 1-2 years of PQE and:

• Exposure to the areas above (mandatory) — you don’t need to be an expert, but you should have had exposure to these areas, understand the fundamentals and be eager to learn.
• Ability to think and understand independently and apply your analysis – not someone who jumps to conclusions or works in a hurry.
• Confident communicator with strong drafting and analytical skills and fluency in virtual collaboration.
• The candidate will be able to work from home, but should be based out of New Delhi (compulsory). It is a full time position.

Responsibilities

• M&A Documentation: Drafting/reviewing SPAs, SHAs, BTAs, and related agreements, including advising start-ups/founders on their fund raising.
• Commercial Contracts: Handling distributor, franchise, IT, and other business agreements, company policies, etc.
• Due Diligence & Reporting: Conducting legal DD and preparing detailed reports.
• Legal Research: Analyzing legislation, case law, and regulatory frameworks.
• Company Law Matters: Advising on compliance, governance, and related issues.
