About the Job

ELP is seeking lawyers to join its Capital Markets Team in Mumbai.

Eligibility

• LL.B. degree
• Minimum 4–5 years of experience in capital markets practice at a leading law firm

Responsibilities

• Drafting the Draft RHP, RHP, Prospectus, abridged prospectus, board and shareholders’ resolutions, powers of attorney, and publicity guidelines
• Providing legal clearance on issue and publicity materials including offer documents, research reports, roadshow presentations, public notices, bid forms, allocation notes, press releases, and advertisements
• Advising issuer companies on compliances under SEBI ICDR Regulations, SEBI LODR Regulations, the Companies Act, 2013, and other applicable laws
• Attending due diligence and drafting sessions with issuer representatives, auditors, and BRLMs
• Conducting legal and secretarial due diligence in relation to domestic and offshore public offerings
• Drafting SEBI ICDR compliance checklists and ensuring stock exchange disclosure compliance
• Drafting responses to comments/queries from SEBI, BSE, NSE, and investors
• Drafting and negotiating offer-related documentation including Offer Agreement, Syndicate Agreement, Underwriting Agreement, Registrar MoU, Share Escrow Agreement, etc.
• Drafting customary comfort letters
• Reviewing Memorandum and Articles of Association and suggesting modifications for stock exchange compliance
• Reviewing international wrap documentation from an Indian law perspective
• Handling notices and clarifications from stock exchanges, SEBI, and other regulatory authorities
• Assisting in drafting applications for required government approvals
• Advising on foreign exchange control and securities law compliances in coordination with offshore counsel
• Coordinating with management, auditors, BRLMs, and other stakeholders involved in the offering
