About the Job

The Deputy Manager – Secretarial will assist the Company Secretary in managing statutory and regulatory compliances, Board and Committee processes, shareholder meetings, stock exchange disclosures, corporate governance requirements, and other secretarial functions.

Eligibility

  • Associate/Fellow Member of the Institute of Company Secretaries of India (ICSI).
  • Bachelor’s degree in Law, Commerce, Business Administration, or equivalent is preferred.
  • LL.B. qualification will be an added advantage.
  • Approximately 5–10 years of relevant experience in secretarial and compliance functions.
  • Experience in a listed company is strongly preferred.
  • Exposure to SEBI regulations, stock exchange compliances, corporate governance, and Companies Act requirements.
  • Experience with listed-company Board processes and shareholder meetings will be an advantage.

Responsibilities

  • Assist the Company Secretary with compliance under the Companies Act, 2013, SEBI regulations, listing requirements, and applicable rules.
  • Support compliance with SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (LODR) and other applicable SEBI regulations.
  • Prepare and finalise agendas, notices, notes, and minutes for Board Meetings, Board Committees, General Meetings, and Postal Ballot proceedings.
  • Coordinate with directors, senior management, and departments for preparation of Board and Committee agenda papers.
  • Maintain statutory registers, records, and minutes in accordance with applicable laws.
  • Assist with statutory and regulatory filings with MCA/ROC, SEBI, and stock exchanges.
  • Coordinate timely stock exchange disclosures relating to material events, corporate actions, shareholding, governance matters, and other applicable requirements.
  • Assist with related-party transaction requirements, including agendas, disclosures, and approvals.
  • Support the annual report process, including the Corporate Governance Report, Board’s Report, BRSR, and other statutory disclosures.
  • Assist with the conduct of Annual General Meetings, Extraordinary General Meetings, and other shareholder meetings.
  • Coordinate with the Registrar & Share Transfer Agent on investor/shareholder matters, corporate actions, and statutory reporting.
  • Assist in handling investor grievances and resolving shareholder queries.
  • Monitor changes in the Companies Act, SEBI regulations, stock exchange circulars, and other applicable laws.
  • Maintain the company’s compliance calendar and track statutory and regulatory deadlines.
  • Assist in preparing compliance certificates, reports, and declarations required from directors and senior management.
  • Support implementation and monitoring of corporate governance policies and procedures.
  • Assist with director-related matters, including appointments, resignations, retirements, disclosures, DIN/KYC, declarations, and statutory filings.
  • Maintain records relating to directors, KMPs, and senior management personnel.
  • Coordinate with statutory auditors, secretarial auditors, internal auditors, and professional advisers.
  • Assist with responses to observations raised by auditors and regulators.
  • Support due diligence activities for corporate transactions, fundraising, mergers, acquisitions, restructuring, and other strategic initiatives.
  • Assist with compliance relating to equity shares, ESOPs, buybacks, preferential issues, rights issues, bonus issues, and other corporate actions.
  • Maintain and update corporate governance policies, including related-party transaction, code of conduct, insider trading, and whistle-blower policies.
  • Support compliance under SEBI (Prohibition of Insider Trading) Regulations, including relevant records, trading-window requirements, and disclosures.
  • Assist in preparing management reports and dashboards on secretarial and regulatory compliance.
  • Perform other secretarial and corporate governance responsibilities assigned by the Company Secretary.

Key Skills

  • Strong knowledge of the Companies Act, 2013 and rules thereunder.
  • Good understanding of SEBI regulations, particularly LODR and Insider Trading Regulations.
  • Knowledge of stock exchange compliance and corporate governance practices.
  • Strong drafting and documentation skills.
  • Excellent understanding of Board and Committee processes.
  • Ability to interpret legislation, regulations, and regulatory circulars.
  • Strong coordination and stakeholder-management skills.
  • High attention to detail and accuracy.
  • Excellent written and verbal communication skills.
  • Ability to manage multiple statutory deadlines simultaneously.
  • Proficiency in MS Office and relevant compliance/secretarial software.

  • Effective conduct of Board, Committee, and shareholder meetings.
  • Accurate maintenance of statutory registers and records.

  • Timely resolution of investor and shareholder grievances.
  • Accuracy and completeness of annual reports and corporate governance disclosures.
  • Timely implementation and monitoring of corporate governance requirements.
