About the Opportunity

Factum Legal is seeking a dynamic and motivated Corporate Lawyer with 1 to 2 years of post-qualification experience to join their growing team. The ideal candidate should have a strong foundation in corporate and commercial laws, IBC, contract drafting and negotiation, and general advisory work. Experience with regulatory compliance, M&A, or startups is a plus.

Eligibility

• LL.B. degree from a recognized university.
• 1-2 years of relevant work experience in corporate and commercial law.
• Self-starter with great communication and attention to detail
• Ability to work independently and in a team setup.

Responsibilities

• Advising and representing stakeholders in matters under the Insolvency and Bankruptcy Code, 2016, including CIRP, liquidation, voluntary liquidation, drafting and filing applications before the National Company Law Tribunal, handling claims, resolution plans, and providing end-to-end advisory support in insolvency proceedings.
• Drafting, reviewing, and negotiating commercial agreements and Mergers & Acquisitions (M&A) transactions, including shareholders’ agreements, joint venture agreements, share purchase agreements, business transfer agreements, service contracts, NDAs, and other corporate documents.
• Advising clients on corporate laws, employment law and regulatory compliance.
• Drafting of various applications, petitions, rejoinders, legal notices, legal replies, claims, counterclaims, written statements, all court pleadings and appearance before Courts/ Tribunals.
• Providing strategic legal advice to businesses across sectors.
• Coordinating with clients, regulatory bodies, and external counsel where required.
