About the Job
Tejas Networks is hiring an Associate – Company Secretary & Compliance to support its corporate governance, secretarial, and regulatory compliance functions. The role involves assisting with Board and shareholder meetings, statutory filings, regulatory compliance, investor services, ESOP administration, and governance processes for the Company and its subsidiaries.
Eligibility
Applicants must:
- Be a Qualified Company Secretary.
- Preferably hold a Law degree or an equivalent qualification.
- Have 2–4 years of experience in handling company secretarial and compliance-related matters of a listed company.
- Possess a comprehensive understanding of applicable Acts, Rules, and Regulations.
- Have good communication, presentation, interpersonal, and relationship-building skills, including experience in interacting with statutory authorities.
Responsibilities
- Ensure compliance with the Companies Act, 2013, Secretarial Standards, and other applicable laws.
- Organise Board, Committee, and General Meetings, including preparation of notices, agendas, minutes, and action taken reports.
- Handle matters relating to the appointment of Directors and Key Managerial Personnel.
- File statutory forms and returns with the Ministry of Corporate Affairs (MCA).
- Coordinate activities relating to Independent Directors’ meetings and Board evaluation processes.
- Assist in the preparation and publication of the Annual Report, including coordination with internal and external stakeholders.
- Maintain and update statutory registers and records.
- Ensure compliance with SEBI Listing Regulations, SEBI Insider Trading Regulations, Takeover Code, and Stock Exchange requirements.
- Manage filings with SEBI, Stock Exchanges, RBI, and Authorised Dealers under FEMA and other applicable regulations.
- Administer Employee Stock Option Plans (ESOPs) and Restricted Stock Units (RSUs).
- Coordinate with statutory authorities, auditors, registrars, consultants, and other external stakeholders.
- Handle investor services, including share transfers, transmission, dematerialisation, shareholder grievances, and dividend administration.
- Monitor compliance across the Company and its subsidiaries and support governance and compliance processes.
Experience
Applicants should have 2–4 years of experience in handling company secretarial and compliance-related matters.
