About the Opportunity
HSBC is currently seeking an experienced professional to join their team in the role of Assistant Legal Counsel.
The team requires the Assistant Legal Counsel to:
- undertake negotiation and execution of Non- Disclosure Agreements, Release Letters, Hold Harmless Letters, Standard Trade Terms for processing trade transactions and trade flows, Facility Agreements, and other related agreements for any loan facility.
- ensure end to end execution of a request, including liaising with stakeholders, drafting, negotiating, updating the database, and archiving emails as appropriate
- coordinate between various departments across the Bank, which includes both onshore and offshore stakeholders
- display leadership and teamwork for efficient completion of work
- be the first point of contact for all queries raised by the Bangalore team
Job Description
- To undertake negotiation and execution of Non- Disclosure Agreements, Standard Trade Terms for processing trade transactions and trade flows, Facility Agreements and other related agreements for any loan facility, Deposited Account Control Agreement, PoAs, Charged & Secured Accounts, and Mandates.
- Prepare opinion letters for customers, including credit agreements, security agreements, indemnities, UCCs, guarantees, subordination agreements, deed of priority, and inter-creditor agreements.
- Well-versed with Company Law, Partnership Act, and other related legislations to conduct proper due diligence on various entities/customers to onboard such clients globally.
- Familiarity with laws relating to Intellectual Property Rights, Competition Act, Sanctions & AML Act, Banking regulations (HKMA, Banking Regulation 2020), & Common Wealth Laws.
- Ensure end to end execution of a request, including liaising with stakeholders, drafting, negotiating, updating the database, and archiving emails as appropriate
- Required to display Leadership and teamwork for efficient completion of work
- The individual will be responsible for the updating all internal databases in a timely manner
- Manage proper records of inflow and outflow of original documents/emails, including execution and archiving purposes.
- Ensuring management information and ad hoc reports are produced promptly
- Each individual will be responsible for each case/request received until its completion; work will require quick turnaround time, involves frequent chasing and follow up with severe ownership implications
- Must be able to coordinate between various departments across the Bank, which includes both onshore and offshore stakeholders
- Must have good judgmental skills to balance between seeking clarification and taking ownership of the checking process

- Active participation and contribution in all quality initiatives within the team/process both for improvement of productivity & quality
- Understand and comply with all relevant policies and procedures issued by the Group and contained with the Group Standards Manual and relevant Functional Manuals, Desk Instructions Books, and Process Guides
- Communicate effectively with team members, internal and external customers, and other parts of GBM as required
- Maintain HSBC internal control standards, including the timely implementation of internal and external audit points together with any issues raised by external regulators
- Need to implement the Group Compliance Policy, as applicable to their role
- Need to be aware of the Operational Risk scenario associated with their role and to ensure that all actions during their employment with HSBC take account of the likelihood of an operational risk occurring
- All Mandatory Training Modules are taken up in right earnest and completed within the stipulated timelines
- Promote a strong sense of teamwork to ensure all areas work collaboratively and as efficiently as possible
- Ensure the off-shore and on-shore teams operate and engage as a single “virtual” team
- Responsible for conceptualizing and creating of robust MIS for business heads and business partners to facilitate effective performance monitoring and review
- Responsible for workload management and delivery of volumes and quality, which will include assigning and allocation of tasks in a timely and an accurate manner
- First point of contact for all queries raised by the Bangalore legal team
- Have the ability to work autonomously with the appropriate escalations to the team lead
- Have a big picture understanding of the financial markets and understands the business and regulatory implications of documentation aspects
- Be responsive and focused on client service
- Be commercial and solutions-focused with the ability to draft appropriate legal provisions reflecting the agreed outcome.
- Conduct pieces of training from time to time
- Seek clarification as and when required from onshore SMEs and share with the team
- Update procedure as advised by onshore SME and share with the team
- Ensure yearly version update of procedures and Business Head approval is obtained
- Conduct ongoing Quality Checks for all drafts prepared by the team
Eligibility
- Law degree from a recognized and reputed Law College/University in India or Overseas.
- Understanding of Common Law, especially with regard to the UK & HK
- Excellent understanding of Corporate Law
- An understanding as how Group Legal functions.
Skills and Competencies Required
- Proven skills in advisory and drafting agreements/contracts
- Strong communication skills both written and verbal
- Excellent time management and prioritization and multi-tasking skills
- Good interpretation, analytical & judgmental skills
- Proficiency in MS Office
- Ability to effectively develop a rapport across a wide range of people across all related functions.
- Required to be detail-oriented and must have exceptional attention to detail skill.
- Personal drive to provide excellent customer service and achieve customer delight.
- Must be able to work with minimal supervision and personal ownership
- Must be a good as a team player as well as individual contributor
- Ability to effectively communicate with the Legal team and 3rd Party Relationship Managers.
Preferred Skills
- An understanding of Business and product knowledge (Global Markets & Banking)
- Awareness for identification of simple and complex deal structures
- Good understanding of the Client Onboarding process
